Terms of Service

Last updated: September 10, 2026

These Terms of Service ("Terms") govern your access to and use of Pricebookr (the "Service"), operated by KNSTROUSE PROPERTIES, LLC, doing business as Pricebookr ("Pricebookr," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind it, and "you" means that business. If you do not agree, do not use the Service.

Two addenda form part of these Terms when they apply to you: the Payments Addendum, presented for your acceptance when you enable payment processing, and the Data Processing Addendum, presented when you first store information about your own customers in the Service.

1. The Service

Pricebookr is software for home-service businesses. It lets you manage a catalog of products, services, and prices; organize them into price books; synchronize them with third-party tools you connect; keep records of your customers, their properties and equipment; send quotes and collect electronic approvals; issue invoices; and, if you enable it, request and record payments. Features may change over time, and some are available only on certain plans.

2. Accounts and Users

You must provide accurate information and keep your credentials secure. You may add users to your account and assign them roles; you are responsible for everything they do in the Service and for removing them when they leave your business. Notify us promptly of any unauthorized use. You must be at least 18 years old and able to form a binding contract to use the Service.

3. Your Data

You retain all rights to the data you enter into or generate with the Service, including your catalog, prices, customer records, quotes, invoices, and payment records ("Your Data"). You grant us a limited license to host, process, transmit, and display Your Data solely to provide, secure, support, and improve the Service, including sending it to the third-party tools you connect and to your customers on your instruction. You are responsible for the accuracy and legality of Your Data and for having the right to use it.

Where Your Data includes personal information about your own customers, we process it on your behalf under the Data Processing Addendum. You can export Your Data at any time from your account, and for 30 days after your account ends.

4. Third-Party Integrations

The Service connects to third-party platforms at your direction. Your use of those platforms is governed by their own terms and policies. We are not responsible for third-party services, their availability, or any actions they take with data you authorize us to send or receive. You are responsible for maintaining the permissions required for those integrations, and for reviewing data that a sync sends to another system before you rely on it there.

5. Acceptable Use

You agree not to:

6. Subscriptions, Billing, and Renewal

Plans and prices. Plans, prices, what each plan includes, and any per-user pricing are shown when you subscribe and in your account settings. Some plans are priced per user; adding a user mid-period is charged for the remainder of that period, and removing one is credited toward your next bill.

Automatic renewal. Subscriptions renew automatically at the end of each billing period — monthly or annually, as you chose — at the then-current price for your plan, until you cancel. Annual plans are billed in advance at ten times the monthly price. We will email your account's administrators at least 30 days before an annual plan renews.

Cancelling. You may cancel at any time from your account's billing settings. Cancellation takes effect at the end of the billing period you have already paid for; you keep access until then. We do not refund or prorate amounts already paid for the current period, except where the law requires it or these Terms say otherwise.

Price changes. We may change prices on at least 30 days' notice by email to your account's administrators. A new price applies from your next renewal after the notice period. If you do not agree, cancel before that renewal.

Taxes. Prices exclude sales, use, and similar taxes. Where we are required to collect tax, it is added to your bill based on the billing address you give us.

Failed payments. If a payment fails we will retry it and notify you. If it is not resolved within 14 days we may suspend the Service until it is paid, and after 30 days we may cancel the subscription.

Free trial. New accounts may receive a free trial of a stated length. During a trial, certain features are available only on a paid plan. When you subscribe, the trial ends and billing begins immediately; unused trial days are not carried over, credited, or refunded. We may change, limit, or discontinue free trials at any time.

7. Payments Processing

If you enable payment processing, the Payments Addendum applies. In summary: payments are processed by Stripe on an account that belongs to you; you are the merchant of record for every payment; Pricebookr never holds your funds; and Pricebookr charges a fee on each payment processed through the Service, disclosed before you enable it.

8. Quotes, Approvals, and Records

The Service lets you send quotes and collect your customers' approval electronically, and keeps a record of each approval: who approved, when, from what device, and the exact text they agreed to. We keep those records for at least seven years from the approval, including after your account ends, and will give you a copy on request.

Pricebookr provides the mechanism and the record. We do not warrant that any approval is legally binding or enforceable; that depends on facts we do not control, including who was actually using the device, whether your own terms are lawful, and whether a cancellation right applied to the sale. You are responsible for the content of your quotes and terms, for deciding whether any notice of cancellation or other disclosure is required for a sale, and for complying with the laws that govern your contracts with your customers. Where the Service provides a default text for such a notice, it is a starting point for your review, not legal advice.

9. Referral Program

We may offer credits for referring new customers. When a business you refer becomes a paying customer, we apply a credit to your account equal to one month of your plan's base subscription price at that time, unless we say otherwise when you share your link. Credits are applied against future subscription charges, have no cash value, cannot be transferred, and are forfeited if your account ends. We may withhold or reverse a credit if the referred customer's payment fails, is refunded, or is disputed, or if we reasonably believe a referral was fraudulent or self-referred. We may change or end the program at any time; credits already applied are not affected.

10. Intellectual Property

The Service, including its software, design, documentation, and trademarks, is owned by Pricebookr and protected by law. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service. If you give us feedback or suggestions, we may use them without obligation to you.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that data synced to third-party tools will always be accurate or timely, or that any quote, approval, invoice, or tax calculation is correct for your circumstances. You are responsible for reviewing prices, quotes, and invoices before you rely on them.

12. Limitation of Liability

To the maximum extent permitted by law, Pricebookr and its owners, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, however caused. Our total liability for all claims arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim. These limits apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law.

13. Indemnification

You will defend and indemnify Pricebookr and its owners and affiliates against claims, losses, and expenses (including reasonable attorneys' fees) arising from: Your Data; your sales to and contracts with your customers, including any quote, approval, invoice, or payment you send through the Service; your use of third-party integrations; your breach of these Terms or of applicable law; or the acts of your users.

14. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or if necessary to protect the Service, other customers, or the public, and we will tell you why unless the law prevents it. On termination your right to use the Service ends. You may export Your Data for 30 days after termination; after that we delete it as described in the Privacy Policy, except approval records (section 8) and anything we must keep by law. Sections 3, 8, 10 through 13, and 16 through 17 survive termination.

15. Changes to These Terms

We may update these Terms. For material changes — including changes to fees, to how disputes are resolved, or to the Payments or Data Processing Addenda — we will give at least 30 days' notice by email to your account's administrators and ask you to accept the new terms in the Service before they apply to you. For other changes we will post the updated Terms with a new "Last updated" date, and continued use after that date is acceptance.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Before filing a claim, each of us agrees to try to resolve the dispute by contacting the other in writing and discussing it in good faith for 30 days. Any claim that is not resolved will be brought exclusively in the state courts of Fannin County, Texas, or the United States District Court for the Eastern District of Texas, and each of us consents to their jurisdiction — except that either of us may bring an eligible claim in small-claims court, and either of us may seek an injunction in any court to protect intellectual property or confidential information. To the extent permitted by law, each of us waives the right to a jury trial for any dispute arising out of these Terms or the Service.

17. General

Entire agreement. These Terms, with the Privacy Policy and any addenda that apply to you, are the entire agreement between us about the Service and replace any earlier agreement. Assignment. You may not assign these Terms without our consent; we may assign them to a successor to our business. Force majeure. Neither of us is liable for delay or failure caused by events beyond our reasonable control, other than payment obligations. Severability. If any part of these Terms is unenforceable, the rest remains in effect. No waiver. A failure to enforce a right is not a waiver of it. Independent parties. We are independent contractors; nothing here creates a partnership, agency, or employment relationship. Notices. We may notify you by email to your account's administrators or in the Service; you may notify us at the address below. Export and sanctions. You may not use the Service if you are, or are acting for, a person or country subject to United States sanctions or export restrictions.
