# Payments Addendum

Last updated: October 12, 2026

This Payments Addendum ("Addendum") is part of the Terms of Service between you ("Customer," "you") and KNSTROUSE PROPERTIES, LLC, doing business as Pricebookr ("Pricebookr," "we," "us"). It applies when you enable payment processing in the Service. If this Addendum conflicts with the Terms, this Addendum controls for payment matters.

## 1. What Pricebookr does and does not do

1.1 **Pricebookr is software.** The Service lets you request and record payments from your customers ("Payers") on quotes and invoices you create. Payment processing is provided by Stripe, Inc. and its affiliates ("Stripe"), not by Pricebookr.

1.2 **You are the merchant.** Every payment is a transaction between you and your Payer, processed on a Stripe account that belongs to you (your "Connected Account"). You are the merchant of record. Your name appears on the Payer's card or bank statement. You are responsible for the goods and services the Payer is paying for.

1.3 **Pricebookr never holds your money.** Funds move from the Payer to your Connected Account and from there to your bank account under Stripe's payout schedule. Pricebookr is not a bank, a money transmitter, a payment processor, or a money services business, and does not hold, custody, or control your funds at any time.

## 2. Your Stripe account

2.1 To enable payments you create a Stripe account through the Service and accept the [Stripe Connected Account Agreement](https://stripe.com/connect-account/legal), which incorporates the Stripe Services Agreement. That agreement is between you and Stripe. Pricebookr is not a party to it and cannot change it. The account is a full Stripe account in your name with your own Stripe login: you manage refunds, respond to disputes, view payouts and reports, and receive any tax forms there, and you can contact Stripe support directly about it. If you already have a Stripe account, you can connect it instead of creating a new one.

2.2 Stripe decides whether to open, restrict, hold funds on, or close your Connected Account, and sets its own payout timing, reserves, and verification requirements. Pricebookr does not control those decisions and is not liable for them. Where Stripe requires information from you, the Service will tell you what is outstanding; providing it is your responsibility.

2.3 You will keep the information on your Connected Account accurate, including your legal name, business type, and bank details.

## 3. Fees

3.1 **Stripe's fees.** Stripe charges you its processing fees directly on your Connected Account at Stripe's published rates, including per-transaction fees, dispute fees, and fees for instant bank-account verification. These are Stripe's fees, not Pricebookr's, and Stripe may change them under its agreement with you.

3.2 **Pricebookr's fee.** For each payment processed through the Service, Pricebookr charges an application fee, collected automatically from the payment before it settles to your Connected Account. The rate depends on your plan and payment method and is shown in the Service before you enable payments and on your Payments settings page. As of the date of this Addendum:

| Method | Total you pay per payment | Of which Stripe's fee | Of which Pricebookr's fee |
| --- | --- | --- | --- |
| Card | 2.9% + $0.30 | 2.9% + $0.30 | none |
| ACH bank debit (Starter) | 1%, minimum $1 | 0.8%, capped at $5 | the remainder |
| ACH bank debit (Pro) | 1%, minimum $1, capped at $50 | 0.8%, capped at $5 | the remainder |
| In-person (Tap to Pay) | 2.9% + $0.30 | 2.7% + $0.05 | the remainder |

The "total you pay" column is the advertised rate; the split beneath it is disclosed so you know which part is Stripe's and which is ours.

3.3 **Changes.** Pricebookr may change its application fee on at least 30 days' notice by email to your account's administrators. Changes apply to payments processed after the effective date.

3.4 **Refunds.** When you refund a payment through the Service, Pricebookr refunds its application fee on that payment in the same proportion. Stripe's own fees are governed by Stripe's terms and are generally not returned on refund.

3.5 **Taxes.** Fees are exclusive of taxes. You are responsible for any sales, use, or similar tax on the goods and services you sell to Payers, and for collecting and remitting it. Pricebookr's fee is exclusive of any sales tax that applies to it; where tax applies, it will be added.

## 4. Your responsibilities to Payers

4.1 You are solely responsible for: the accuracy of every quote, invoice, and payment request you send; delivering the goods and services paid for; your refund and cancellation practices; any warranty; and compliance with the laws that apply to your sales, including consumer-protection, licensing, home-solicitation and cooling-off rules, and tax law.

4.2 **Disputes and chargebacks.** A Payer may dispute a payment with their bank. Disputes are handled between you and Stripe under Stripe's rules, in your Stripe dashboard; the Service will show you that a dispute exists and link you to it. Disputed amounts and dispute fees are debited from your Connected Account. Pricebookr does not adjudicate disputes and is not responsible for their outcome. You will keep records sufficient to respond to a dispute; the approval records the Service keeps are provided to help with that but are not a guarantee of any outcome.

4.3 **Deposits.** If you request a deposit on a quote, the amount is shown to the Payer before they approve and recorded on the approval. Whether a deposit is refundable, and on what terms, is between you and your Payer and should be stated in your terms.

4.4 You will not use the Service to process payments for anything on Stripe's [Restricted Businesses](https://stripe.com/legal/restricted-businesses) list, for anyone other than your own business, or for a transaction that did not take place.

4.5 **Surcharges.** The Service does not add surcharges or convenience fees to card payments. If you add one yourself outside the Service, you are responsible for its legality and disclosure.

## 5. Card data and security

5.1 Payer card and bank details are entered directly into Stripe's hosted payment fields and are transmitted to Stripe. Pricebookr does not receive, store, or transmit full card numbers, and you must not enter a Payer's card number anywhere in the Service other than those fields.

5.2 Pricebookr receives from Stripe the information needed to show you the status of a payment — amount, method type, last four digits, status, and payout information — and stores that as part of your records.

## 6. Payment records and reporting

6.1 The Service keeps a record of each payment request, payment, refund, and payout as reported by Stripe, and reconciles them to your invoices. Stripe's records are authoritative for what was charged and paid; if the Service and Stripe disagree, Stripe's records govern and you should tell us.

6.2 Stripe issues any tax forms required for your Connected Account (for example, Form 1099-K) directly to you. Pricebookr does not issue them.

## 7. External and recorded payments

You may record in the Service payments you received outside it — cash, check, a payment through another processor, or a financing payout. Those are records only. Pricebookr charges no fee on them, does not verify them, and takes no responsibility for their accuracy.

## 8. Suspension and termination

8.1 Pricebookr may disable payment features for your account if we reasonably believe they are being used in breach of this Addendum, Stripe's terms, or the law, or if Stripe restricts or closes your Connected Account. We will tell you why unless the law or Stripe prevents it.

8.2 If your subscription ends, payment features end with it — but **your Stripe account is yours**. It is a full Stripe account in your name, with your own login, and it continues to exist independently of Pricebookr: your payment history, tax forms and pending payouts stay available to you, payouts in progress complete on Stripe's schedule, and you can keep using it with Stripe directly or with another provider. What ends is Pricebookr's connection to it, and with that our fee. The Service will let you export your payment records for at least 30 days after termination.

## 9. Liability

9.1 Pricebookr's liability for payment matters is limited as set out in the Terms. Without limiting that, Pricebookr is not liable for: any act or omission of Stripe or a bank; delays, holds, or reserves on your funds; a Payer's failure to pay; disputes, chargebacks, or fraud by a Payer; or any loss arising from your sales to Payers.

9.2 You will indemnify Pricebookr against claims by Payers, Stripe, a card network, a bank, or a regulator arising from your sales, your use of payment features, your breach of this Addendum or of Stripe's terms, or your failure to comply with law.

## 10. Changes

We may change this Addendum. Material changes take effect 30 days after notice by email to your account's administrators and in the Service, and continuing to process payments after that date is acceptance. A change to Pricebookr's fee (section 3.3) is always treated as material.
